## 4. New-entity test

Create a separate company, project vehicle or joint venture only when at least one of these is true:

- Ownership or control must differ.
- A regulated activity needs its own licence or governance.
- A prime or investor requires a ring-fenced project vehicle.
- Project finance, assets or guarantees need separation.
- The parties are sharing major risk, capital, profit and control.
- A tax, legal, insurance or financial adviser confirms a clear reason.

If none applies, keep the lane inside the operating company or use a written subcontract.
