1. What this is

We already work together on Windemere Road Park, Redland City. This memorandum records a second, related piece of work: a licensed local model trained on a small set of parks VFG has already built, so future tenders and maintenance are not from a blank page.

2. Two rooms

Windemere tender files, prices and returnables stay in the bid room. This memorandum does not change that tender and does not authorise use of bid-room files for training.

3. First parks

Black Head (Hallidays Point); Cowes; Bathurst; Shellharbour 2018 rebuild. Further parks may be added in writing, including by email or text.

4. What VFG will try to provide

For each named park, as held: native CAD (DWG / DXF / 3D); as-constructed / works-as-executed PDF; who designed it; who built it; year opened or rebuilt; and whether copyright sits with VFG or the council. If a file cannot leave the office, a supervised copy or extract is enough to start.

5. Licence

VFG keeps ownership of its drawings and CAD. VFG licences Luke to keep copies in a closed working folder; train a local Strange But True model on those copies; and use that model for tendering, set-out, maintenance and digital-twin work.

Luke will not put the CAD or WAE sheets on the public web; will not hand the raw files to a third-party training company; and will not treat this as a right to rebuild or on-sell VFG designs.

6. What Luke will do

Packet each file (source, date, train flag). Training stays off until this memorandum is signed or Kez confirms the same words in writing. Credit VFG when the work is shown in community or tender material, unless VFG asks otherwise.

7. Money

No fee is set in this note. If a park-by-park fee or a share of later work is agreed, that will be written as a short add-on.

8. Time

Starts when both have signed or clearly agreed in writing. Either side may end it with 14 days notice. Copies already lawfully used to train may stay in the local model. Raw CAD is returned or deleted if VFG asks.

9. No extras

This is not a partnership, employment, joint venture or exclusive deal. It is not a construction contract. It is not legal advice.
